These Terms of Service ("Terms") are a binding agreement between Soundbreaker Media LLC, a Michigan limited liability company doing business as Make Worship Songs (the "Studio"), and the person or organization requesting services (the "Client"). By submitting files, requesting a critique, making a payment, or signing a Project Agreement, the Client accepts these Terms.
"Services" means the mixing, mastering, production, critique, and add-on services described in Section 2 and in any Project Agreement.
"Client Materials" means all audio files, stems, lyrics, reference tracks, artwork and other content the Client provides.
"Original Tracks" means the individual audio tracks the Client submits at the start of a project and that the Studio confirms as complete.
"Deliverables" means the final files the Studio delivers after Approval.
"Media" means any recording, video, social content, or other material that includes or is derived from the Services or Deliverables.
"Approval" means the Client's written acceptance of a mix or master, or deemed approval under Section 5.4.
"Studio Personnel" means the Studio's owners, members, managers, employees, contractors and subcontractors.
"Business Day" means Monday through Friday, excluding U.S. federal holidays, measured in Eastern Time.
"Project Agreement" means the signed agreement for a specific project: the Mix & Master Project Agreement for Master, Mix and Mix + Master projects, or a separate Full Production agreement. If it conflicts with these Terms, the Project Agreement controls for that project.
2.1 Services. The Studio offers the following Services at the prices below, per song, in U.S. dollars. The Studio may update its prices at any time; the price in effect when the Client pays applies to that project.
Worship Song/Mix Critique — Price: Free. Includes: Written or recorded feedback on arrangement and mix; 1 song per person. Turnaround: 3–5 Business Days.
Master — Price: $100. Includes: Final master, WAV + MP3, streaming-ready. Turnaround: 1–2 Business Days.
Mix — Price: $350. Includes: Stereo mix; revisions per Section 5; WAV + MP3, instrumental and acapella versions. Turnaround: 72 hours.
Mix + Master — Price: $390. Includes: Everything in Mix, plus the Master. Turnaround: Mix in 72 hours; master 1–2 Business Days after mix Approval.
EP/Album Mix + Master — Price: Quoted. Includes: Multi-song mixing and mastering. Turnaround: Per Project Agreement.
Full Production — Price: Quoted. Includes: Songwriting, production, arrangement, mix and master. Turnaround: Per Project Agreement.
2.2 Add-ons.
Worship Team Pack — Price: $75/song. Includes: Song multitracks with click and guide tracks; guidance on registering the song with CCLI. Available with: Any paid mix, EP/Album or Full Production.
Social Mixes — Price: $75/song. Includes: One 60-second and two 30-second mixes for short-form video, as full production, acapella, or vocal + 1 instrument. Available with: Mix, Mix + Master, EP/Album or Full Production only.
2.3 CCLI guidance. The Worship Team Pack includes written guidance on how the Client can register the song with CCLI. The Studio does not register songs, act as the Client's publisher or administrator, or guarantee acceptance by CCLI or any licensing body. This guidance is general information, not legal advice (see Section 13.10).
2.4 Scope. Services cover only what is listed for the purchased tier and any written Project Agreement. Anything else (including additional recording, editing, tuning beyond normal mix practice, or file preparation) is out of scope and quoted separately under Section 5.5.
2.5 No guaranteed outcomes. The Studio does not guarantee streams, sales, playlist placement, chart position, radio play, or acceptance by any distributor or platform.
2.6 Service provider only. Under these Terms, Make Worship Songs is strictly a service provider offering mixing, mastering and select add-on services. It is not the Client's record label, record company, music publisher, publishing administrator, distributor, manager, agent or legal advisor. The Studio does not register copyrights, collect royalties, register songs with performing rights organizations or CCLI, or distribute music on the Client's behalf.
3.1 When payment is due. Single-song Services and add-ons are paid in full before work begins. EP/Album and Full Production projects require a non-refundable deposit of 50% of the quoted fee before work begins, with the balance due before Deliverables are released. Work is scheduled only after payment clears.
3.2 Payment plans. The Client may pay through PayPal or Klarna where offered. Any financing, installment or "pay later" arrangement is solely between the Client and that provider. The Studio treats the order as paid in full when it receives the funds, and the Client's obligations to the provider are not affected by any dispute with the Studio.
3.3 Discounts. Churches and registered ministries receive 15% off, and current students receive 20% off, on core Services only. Discounts:
require proof of eligibility (for example, a church letterhead or website listing, or a current student ID and proof of enrollment);
cannot be combined with each other or with any other promotion;
do not apply to add-ons, overages, or the conversion offer in Section 7; and
must be claimed before payment and cannot be applied afterward.
3.4 Overages. Out-of-scope work under Section 5.5 is invoiced separately and due before that work begins.
3.5 Chargebacks. If the Client files a chargeback or payment dispute instead of first contacting the Studio, the Studio may pause or end all work on the Client's projects, withhold Deliverables, and recover the disputed amount plus any fees charged to the Studio.
3.6 Taxes. Prices exclude any applicable sales or use taxes, which the Client will pay if required.
4.1 Uploads. The Client uploads Client Materials to the private Dropbox link the Studio provides for that project. Files must follow the Studio's file preparation guidelines (for example, consolidated WAV files at the session's sample rate, all starting at the same point, clearly named, with no master-bus processing).
4.2 File confirmation. Turnaround starts when the Studio confirms in writing that all Original Tracks and payment have been received and the files are usable. If files are missing, corrupted or not prepared as required, the clock does not start until corrected files arrive.
4.3 Turnaround times. Stated turnaround times (Section 2.1) are good-faith estimates, not guarantees. Delays caused by the Client, file problems, illness, equipment failure or events outside the Studio's control do not create a right to a refund.
4.4 Review copies. Mixes and masters are shared for review as streaming previews through Filepass (or a similar platform), with downloads disabled. The Client may not download, record, copy, distribute or publish review copies.
4.5 Final delivery. Final Deliverables (WAV and MP3 files and any purchased add-ons) are released only after Approval and payment of all fees and overages.
4.6 Client backups. The Client is responsible for keeping its own copies of all Client Materials. The Studio is not liable for lost or corrupted files, and retains project files only as stated in Section 12.5.
5.1 Revisions. The Studio will revise each mix until the Client is satisfied, based only on the Original Tracks. Revision requests must be sent through Filepass (or in writing) as one consolidated set of notes per round.
5.2 Revision window. Each revision request must be made within 5 Business Days after the Studio delivers that version of the mix.
5.3 What counts as a revision. A revision is a change to balance, effects, panning, automation, or the treatment of the Original Tracks. Replacing, adding, re-recording or re-editing parts is not a revision; it is an overage under Section 5.5.
5.4 Deemed approval. If no feedback is received within 5 Business Days after a mix is delivered, the mix is considered approved. The Studio will then proceed to mastering (if purchased) or final delivery.
5.5 Overages. The following are billed in addition to the Service price, and are payable before that work begins:
Each replaced or added track (for example, a new vocal take, guitar overdub or new instrument) — Fee: $60 per track.
Revisions requested after Approval — Fee: Quoted in writing before work begins.
Other out-of-scope work (editing, tuning, file preparation, rush delivery, additional versions) — Fee: Quoted in writing before work begins.
5.6 Mastering after mix Approval. Once a mix is approved and mastering begins, changes to the mix are no longer included and are billed as overages.
6.1 100% Satisfaction Guarantee. We'll revise your mix until you love it, based on the tracks you originally submitted. If you're not satisfied, you may request a full refund of the Service fee within the 5-Business-Day window after any mix delivery. The same applies to a Master-only order within 5 Business Days after the master is delivered.
6.2 What happens on a refund. When a refund is issued, the project ends. No mixes, masters or other files are released, and the Client may not use, distribute or publish any review copy. The Studio may delete all project files.
6.3 When the guarantee ends. The refund guarantee ends at the earliest of:
the Client's Approval of the mix (including deemed approval under Section 5.4);
the project moving into mastering; or
delivery of final files.
6.4 What is not refundable. The guarantee does not cover overages already performed, add-ons already delivered, the deposit on EP/Album and Full Production projects, or any project ended under Section 3.5 (Chargebacks). Projects ended under Section 8 (Code of Conduct) are refunded only as stated in Section 8.4.
6.5 Cancellation before work starts. If the Client cancels in writing before the Studio confirms files under Section 4.2, the Studio will refund amounts paid for single-song Services less any non-refundable payment processing fees.
6.6 How refunds are paid. Refunds are returned to the original payment method. For PayPal or Klarna orders, the refund is issued through that provider under its rules.
7.1 Eligibility. The free critique is limited to one song per person, household or organization, and requires a valid email address. The Studio may end or change this offer at any time.
7.2 What the Client receives. Feedback on the song's arrangement and mix, delivered as written notes or a recorded walkthrough within 3–5 Business Days after the song is received. The critique is the Studio's professional opinion only. It is not a mix, master or edit, and no audio files are returned.
7.3 Email consent. By requesting a critique, the Client agrees to receive emails from Make Worship Songs, including follow-up and promotional messages. The Client may unsubscribe at any time using the link in any email.
7.4 Conversion offer. Clients who book a paid Service within 14 days after receiving their critique receive $25 off that Service. This offer cannot be combined with the discounts in Section 3.3.
7.5 Submitted material. All other Terms, including Section 8 (Code of Conduct) and Section 10 (Client Warranties), apply to songs submitted for critique.
8.1 Who we are. Soundbreaker Media LLC, doing business as Make Worship Songs, is a privately owned, Christian-based business. Its work is guided by Christian faith and values, and it reserves the right to refuse any project that violates its Code of Conduct.
8.2 Prohibited content. The Studio will not work on content that, in its judgment, promotes or contains any of the following, including but not limited to:
racism, homophobia, or hate speech;
sexual abuse;
slander;
extremist political propaganda;
religious intolerance or anti-Christian rhetoric; or
acts of violence or terror.
8.3 Refusal before work begins. The Studio may decline any project before work begins. If it does, it will refund any amounts paid for that project.
8.4 Termination during a project. If content violating this Code of Conduct is discovered during recording, editing, mixing or mastering, the Studio may end the Project Agreement and all Services on the project immediately, by written notice. In that case:
the Studio will keep 50% of all fees paid to date, plus payment for any expenses incurred on the project (including deposits or fees paid to subcontractors, session musicians, vocalists or studios), and will refund any remaining balance. If those expenses exceed the amount kept, the Client will pay the difference within 14 days of the Studio's invoice, and Section 6 does not apply;
no work completed up to the point of discovery will be delivered or returned to the Client;
the Studio will not keep backups of that work on its systems or servers; and
the Studio and Studio Personnel will not be associated with the project if any part of it is released.
8.5 Use of the Studio's name. If the Studio ends a project under this Section, the Client may not use the names "Make Worship Songs" or "Soundbreaker Media LLC," or the name of any Studio Personnel, in credits, metadata, marketing or any other way connected with that project. The Client will be legally responsible for any unauthorized use, including the Studio's damages, costs and reasonable attorneys' fees, and the Studio may seek an injunction to stop it.
8.6 Fiction and storytelling. Some of the topics above may appear as part of a fictional storyline, a testimony, or a song about redemption. In those cases, the Studio and Studio Personnel may use discretion to decide whether the subject matter violates the Code of Conduct. The Studio's decision is final.
8.7 Content, not people. This Code of Conduct applies to the content of a project. The Studio serves clients without regard to any characteristic protected by law.
9.1 Client ownership. The Client keeps all rights in its songs and Client Materials. Upon full payment of all fees and overages, the Client owns the final Deliverables. Until then, the Studio keeps all rights in its work, and the Client has no license to use it.
9.2 Studio property. The Studio keeps ownership of its session files, templates, presets, processing chains, techniques, and any unused or unapproved versions. Session files are not Deliverables unless the Project Agreement says so.
9.3 Royalties and songwriting. Mix and master Services are paid on a flat-fee basis, and the Studio claims no royalties or songwriting share for them. For Full Production, any producer royalty, points, or songwriting split must be agreed in writing in the Project Agreement. Without that writing, none applies.
9.4 Credits. Where platforms allow, the Client will credit the Studio as "Mixed by," "Mastered by," or "Produced by" Make Worship Songs (or the named Studio Personnel) in release metadata and liner notes. Section 8.5 overrides this if a project is ended under the Code of Conduct.
9.5 Portfolio use. After the Client releases a song, the Studio may use short excerpts, the song title, artist name and artwork on its website, social media and marketing, unless the Client opts out in writing before release. The Studio will not share unreleased material without the Client's permission.
10.1 Client warranties. The Client promises that:
it owns or has permission to use all Client Materials, including songs, lyrics, performances, samples, loops and beats;
all performers and co-writers have agreed to the recording and its release;
Client Materials do not infringe any copyright, trademark, privacy or publicity right, and are not defamatory; and
it is at least 18 years old, or a parent or guardian has signed on its behalf.
10.2 Copyright responsibility. The Client is solely responsible for submitting songs and tracks that are either (a) owned by the Client, or (b) licensed by the Client for commercial release. The Studio does not verify the copyright, ownership or licensing of any songs or tracks submitted. The Studio and Studio Personnel will not be held responsible for any copyright infringement or violation resulting from songs or tracks the Client submits, or from the release of any Media containing them.
10.3 Use of artificial intelligence (AI). The Client must disclose in writing, before work begins, whether AI tools were used to create any part of a song, including lyrics, melody, vocals, instruments, beats or stems. The Studio does not verify the copyright status, ownership or licensing terms of AI-generated material. The Studio and Studio Personnel will not be held responsible if any legal action is taken against the Client because an AI-generated element is found to infringe or violate another party's rights, is not eligible for copyright protection, or breaches an AI tool's terms of use or a platform's AI policy. The Studio may decline or end a project that includes undisclosed AI-generated material.
10.4 Claims made in the Media. The Studio is not responsible for any claims, statements or advice (including but not limited to business, financial, legal, health or medical advice) contained in or published with the Media. The Studio shall be held harmless if any third party takes action against the Client or the Client's business for publishing such claims.
10.5 Distributors and platforms. The Studio shall be held harmless for any action taken by any distributor, streaming service, social media platform, licensing body or other media outlet if the Media violates that party's code of conduct, content rules or business policies, including removal, demonetization, account suspension or copyright claims.
10.6 Indemnity. The Client will defend, indemnify and hold harmless the Studio and all Studio Personnel from any claim, loss, damage, fine, cost or expense (including reasonable attorneys' fees) arising from Client Materials, the Media, the Client's breach of these Terms, or the Client's release, distribution or use of any Deliverables.
10.7 Disclaimer. Except for the satisfaction guarantee in Section 6, Services and Deliverables are provided "as is." The Studio makes no other warranties, express or implied, including fitness for a particular purpose or commercial success.
10.8 Limit of liability. To the fullest extent allowed by law, the total liability of the Studio and Studio Personnel for any claim related to a project is limited to the fees the Client paid for that project. Neither the Studio nor Studio Personnel will be liable for lost profits, lost opportunities, lost data, or any indirect, incidental, special or consequential damages.
11.1 Use of subcontractors. The Studio may assign any part of the Services to Studio Personnel, including independent engineers, musicians and producers. The Studio remains responsible to the Client for the Services.
11.2 Protections extend to Studio Personnel. Every limit of liability, disclaimer, indemnity and right in these Terms (including Sections 8 and 10) also protects Studio Personnel, who may enforce them directly.
11.3 No personal liability. The Client agrees to bring any claim only against Soundbreaker Media LLC, and not personally against its owners, members, managers, employees or subcontractors, except where the law does not allow this limit.
11.4 Independent contractor. The Studio is an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, agency, label or publishing relationship.
11.5 Non-solicitation. During any project and for 12 months after it ends, the Client will not directly hire or engage any subcontractor the Studio introduced for similar services without the Studio's written consent. If it does, the Client will pay the Studio a referral fee equal to the fees paid for the project on which that person worked.
11.6 Respectful conduct. Studio Personnel will be treated with courtesy. The Studio may end a project under Section 12.2 if the Client is abusive, harassing or threatening toward any Studio Personnel.
11.7 Confidentiality. The Studio will keep unreleased Client Materials confidential and will not share them except with Studio Personnel working on the project, or as required by law. The Client will keep confidential the Studio's pricing agreements, methods and any non-public information about Studio Personnel.
12.1 Ending by the Client. The Client may end a project in writing at any time. Refunds are available only as stated in Sections 6.1 and 6.5.
12.2 Ending by the Studio for cause. The Studio may end a project immediately, without refund, if the Client violates Section 8, fails to pay, files a chargeback, breaches Sections 10.1–10.3, or is abusive toward Studio Personnel.
12.3 Ending by the Studio for other reasons. The Studio may end a project for any other reason by written notice. In that case, it will refund fees paid for work not yet delivered.
12.4 Abandoned projects. If the Client does not respond to the Studio for 30 days, or does not send required files within 30 days after payment, the project is considered complete. Any remaining work requires a new order.
12.5 File retention. The Studio keeps project files for 365 days after final delivery or the end of a project, then may permanently delete them. Files for projects ended under Section 8 are deleted immediately. Restoring archived files, if still available, may be charged as an overage.
12.6 Survival. Sections 3.5, 8, 9, 10, 11, 12 and 13 continue after a project ends.
13.1 Governing law. These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law rules.
13.2 Resolving disputes. The parties will first try to resolve any dispute through good-faith discussion for 30 days. If that fails, either party may file suit. Any lawsuit, including a small claims case, must be brought in the state or federal courts serving Muskegon County, Michigan, and both parties consent to that jurisdiction.
13.3 Attorneys' fees. In any action to enforce these Terms, the prevailing party may recover its reasonable attorneys' fees and costs.
13.4 Force majeure. The Studio is not responsible for delays caused by events beyond its reasonable control, including illness, power or internet outages, equipment failure, natural disasters or government action.
13.5 Changes to these Terms. The Studio may update these Terms by posting a new version on its website. The version in effect when the Client pays applies to that project.
13.6 Notices and electronic signatures. Notices may be given by email to the addresses in the Project Agreement. Electronic signatures and online acceptance are binding.
13.7 Entire agreement. These Terms and any Project Agreement are the entire agreement between the parties and replace any earlier discussions. Changes to a Project Agreement must be in writing and accepted by both parties.
13.8 Severability and waiver. If any part of these Terms is found unenforceable, the rest remains in effect. Not enforcing a term is not a waiver of it.
13.9 Assignment. The Client may not transfer its rights under these Terms without the Studio's written consent.
13.10 Independent legal advice. The Studio does not provide legal, tax, business or licensing advice. The Client confirms that it has had the opportunity to seek independent legal counsel before accepting these Terms or signing a Project Agreement. The Client is solely responsible for its own research and legal advice about releasing its music, including copyright ownership and registration, licensing, samples and AI-generated material, co-writer agreements, distribution, performing rights organizations, and registering songs with CCLI.
